MAISON MURA MEMBERSHIP AGREEMENT
TERMS AND CONDITIONS / RULES AND REGULATIONS

 

1. Introduction

Maison MURA operates at 333 ST 3RD AVENUE MIAMI, FL 33137 and offers a membership program which offers special benefits, defined as Priority and Exclusive Access. In addition, Maison MURA will also offer ancillary services sourced from approved third parties to assist members during their frequent travels related to wine and spirits. Membership is offered exclusively to individuals and employees or officers of companies.  These terms and conditions as well as the rules and regulations are established by Maison MURA to protect the facility and to promote the health, safety, welfare, and enjoyment of the Members and their guest(s), and all other people using the facility. Maison MURA is committed to providing all Members and their guests with an enjoyable club experience. To uphold these standards, membership requires adherence to accepted terms and conditions.

These terms and conditions (the Terms) govern your Maison MURA membership and are made between you (the "Member", "you", "your"), and Maison MURA, managed by FINEST WS LLC, dba MAISON MURA, company registered in Florida ("Maison MURA", "we", "us", "our"). As a Maison MURA Member, you agree to be bound by these terms.

Maison MURA may amend the Terms and Conditions as well as the Rules and Regulations from time to time as it determines appropriate in its sole discretion.

 

2. Interpretation

In these terms, the following words shall have the following meanings:

The App means the Maison MURA upcoming mobile application, where you can register to events and make bookings.

Booking means a booking made by a Member through the Site or the App to book a private event or to attend an event at a particular time and date.

Rate means the current monthly, quarterly, or annually Maison MURA membership rate 

Guest(s) means a Member's friend or family member who is invited by the member, as part of a Booking.

Member(s) means a member of the Maison MURA. 

Third Party Vendor means the approved provider of a service offered to the Member through the Site. 

Site means, together, the Maison MURA website and/or the App.

 

3. Membership

There is one form of membership. You will be entitled to all the rights and privileges exercisable for that membership.  You may not transfer your membership to anyone else. Membership is only granted following approval of your Membership. Maison MURA reserves the right to grant or withhold membership in its sole discretion

 

4. Introduction and annual rate

Maison MURA charges members an annual membership rate per year. The rate for existing members is not subject to change. However, annual review and revision only for new members may apply. Membership renewals are not automatic and will be reviewed and determined on an annual basis. 

 

5. Membership period

For members registered before the opening date of Maison MURA: your membership commences on the first day of opening of Maison MURA. The annual membership is valid for twelve (12) consecutive months (the Annual Term) and will automatically renew each year on the anniversary of the opening unless your membership is terminated in accordance with these terms. 

For members registered after the opening date of Maison MURA: your membership commences the day your membership application is accepted. The annual membership is valid for twelve (12) consecutive months (the Annual Term) and will automatically renew each year on the anniversary of the opening, unless your membership is terminated in accordance with these terms. 

 

6. Membership rate and payment

Upon approval or renewal of your membership, your membership rate become payable immediately. By providing us with your payment details, you accept and consent to being charged with membership rate in the form requested by Maison MURA upon your application being approved or renewed. 

The membership rate is payable in full up front at the time of registration, provided that membership has not been terminated in accordance with these terms. The Rate is payable by wire transfer or an internationally valid debit or credit card and will be deducted using the payment type selected during the membership registration process. Any changes to payment details must be done at least 72 hours before any payment is due to us. 

If for any reason your selected payment method is unsuccessful, we will send you an email informing you of this. You will have 72 hours to make a successful payment before your membership is suspended. If your membership is suspended, you will be required to make the payment within 21 days of the suspension in order to reactivate access to your membership. If you do not make the payment within this 21-day time period, your account will automatically be canceled.

Exchange rates for USD, EUR, GBP are calculated as per the exchange rate published by the Financial Times on the date of the transaction. 

 

7.  Resignation of your membership by the member

Member shall have the right to cancel this agreement within three (3) business days, exclusive of holidays and weekends, of its making. Notice of cancellation shall be in writing subscribed by the member and sent by email to leclub@maisonmura.wine . Cancellation shall not be effective until all conditions herein are satisfied by the member. In the event that the member cancels the agreement in accordance with this section, MAISON MURA shall refund all membership dues paid, except that MAISON MURA may retain an amount computed by dividing the number of occasions services are to be rendered into the contract price and multiplying the result by the number of complete days that have passed since the making of the contract or, if appropriate, by the number of occasions that services have been rendered. The cancellation of this agreement automatically terminates the Member’s obligation to any entity to whom the Club has assigned the member’s contract. A refund shall be issued within 30 days.

 

8.  Cancelation of membership by Maison MURA

In the event of change of ownership, legal liquidation, dissolution, or the ceasing of activity of Maison MURA, Members will be entitled to a pro rata refund according to the anniversary date of the membership renewal. Refund should be made no later than 30 days from the official date of communication of the cancelation by Maison MURA. 

MAISON MURA shall not be deemed to be out of business when temporarily closed for repair and renovation of the premises: 1) Upon sale, for not more than 14 consecutive days; or 2) During ownership, for not more than 7 consecutive days and not more than two (2) periods of seven (7) consecutive days in any calendar year.

This contract may be canceled if member dies or becomes physically unable to avail himself of a substantial portion of those services which were used from the contract until the time of disability, with a refund of funds paid in an amount computed by dividing the membership dues paid by the number of weeks remaining in the contract term. MAISON MURA may require proof of disability or death. A physical disability sufficient to warrant cancellation of the contract by the buyer shall be established if the member furnishes to the Club a certification of such disability by a physician licensed under Chapter 458, 459, 450, or 461 provided the diagnosis or treatment is within the physician’s scope of practice.

 

9. Your personal information

We will use the personal information you provide us in connection with your membership, in accordance with our Privacy Policy and Terms & Conditions.

In respect of any and all personal data you provide to us as part of your membership, we will be the data controller for the purposes of data protection law. We agree to comply with the principles of data protection law and our obligations thereunder.  Personal data submitted to us by you will be processed in accordance with our Privacy Policy and Terms & Conditions.

We may use the contact details provided by you to communicate with you in relation to your membership. 

The use of the Site involves the electronic transmission of personal data through third party connections. We do not operate or control these connections and cannot guarantee the privacy or security of these data transmissions.

10. Members Portal

Each Member will be able to log into an exclusive platform where they will find all information related to their account, Membership events, offerings and services. Membership login is not transferable and is for the individual Member use only.

 

11. Guest(s)

Members are permitted to bring up to one guest with them for any event they have registered to attend although please be aware that during very busy times we may have to restrict guest access. A member’s guest may not attend events at Maison MURA without that member being present or prior to Maison MURA’s approval. Members are responsible for ensuring their guest follow Maison MURA rules and policies and can face suspension or termination of their membership if their guests violate such rules or policies.

In case of a private booking of the tasting room, members are permitted to bring up to eleven guest(s) with them. Members are responsible for ensuring their guests follow Maison MURA rules and policies and can face suspension or termination of their membership if their guests violate such rules or policies.

MAISON MURA reserves the right to limit guest access for any reason, including in the event of high facility usage, safety, or other purpose consistent with good club management practices.

Guest charges for any services not paid for by the guest will be charged against the sponsoring Member’s house account. MAISON MURA reserves the right to restrict or exclude guests or reduce the number of allowed guests during certain days or times. Guest privileges may be denied, withdrawn, or revoked at any time for reasons considered sufficient by MAISON MURA, in its sole discretion. 

 

12. Children and minors

MAISON MURA Membership program is designed for adults, but children can be allowed on premise upon certain conditions. Members are responsible for their children at all times and are responsible for ensuring they do not disturb other guests and Members. Children under the age of 21 are not allowed to sit or dine in the lounge or in the private room that limit access to a minimum age. Parents must remain on the premises while their children are present.

 

13. Privacy for members/guest(s)

During events, members and their guest(s) must not approach, disturb or solicit others with whom they are not personally acquainted. Doing so may lead to suspension or termination of membership.

 

14. Animals

MAISON MURA cannot accept any type of pets. Service animals are allowed as long as they are wearing equipment identifying them as a service animal.

 

15. Lost and Found

MAISON MURA will not be responsible for the loss or damage to property of Members and their guests on the property.

 

16. Personal Property

Each Member as a condition of Membership and each guest as a condition of invitation to the facilities assumes sole responsibility for his or her property. MAISON MURA shall not be responsible for any loss or damage to any personal property used or stored on property or in the Members’ vehicle. Any such personal property which may have been left in or on the facilities for six months or more may be retained by MAISON MURA.

 

17. Member treatment of employees

Members and their guests may not abuse any MAISON MURA employees, verbally or otherwise. Violation of this rule shall result in revocation of Member’s Membership and/or other disciplinary action determined by MAISON MURA in its sole discretion. No Member or guest shall reprimand or discipline any employee, nor shall a Member request an employee to leave the facilities for any reason. Any employee not rendering courteous and prompt service should be reported to the management of MAISON MURA.

 

18. Reservations

Members get priority when making reservations for the private tasting room. Member must provide a credit card to guarantee reservation at the time of booking or can use their House Account as a guarantee. 

 

19. Dress Code 

Our standards are designed to ensure that all guests of our club, restaurant and bars are afforded the pleasant atmosphere they have come to expect, and to ensure their privacy, comfort and safety. Consequently, we expect a smart dress code from our guests. We do not permit caps, athletic or sports uniforms, slippers, beach attire such as beach sandals and flip-flops, swimsuits and beach dresses. Gentlemen must avoid wearing T-shirts, sleeveless shirts, shorts or open shoes. Long jeans are permitted as long as they are worn smartly with fully covered shoes and a collared shirt. Please note that our smart dress applies to children as well.

 

20.  Confidentiality

Maison MURA management and all staff members are required to adhere to the strictest confidentiality standards and pledge to maintain all records and personal information concerning the members and their guests in the strictest confidence.

 

21. Illegal drugs/substances/items

No member or guest shall purchase, use, ingest, possess, sell or otherwise distribute illegal drugs or other substances, or attempt to do any of the same with any member or guest. No member or guest shall ask any Maison MURA staff for illegal drugs or other substances while on premise, or in the immediate vicinity thereof. If any of the actions above prove true, the relevant member and/or guest will be asked to leave the premise and the membership in question will be terminated.

No member or guest shall purchase, sell, use or possess any object which is illegal or offensive while on premise or in the immediate vicinity thereof. If any such objects are found, the item will be confiscated, the relevant member and/or guest will be asked to leave the premise, the membership in question will be terminated and, depending on the circumstances, we may have to call the police or relevant authorities.

 

22. Food and beverages

Please refrain from bringing any outside food or beverages to Maison MURA, unless medically necessary or permitted by Maison MURA.

 

23. Private hire and maintenance

We may at times close all or part of Maison MURA to members and their guest(s) for private events or for necessary maintenance, repair or redecoration work. Where we close part of the House for private events, please honor and respect the privacy of all private events occurring in the tasting room and refrain from communicating any information about the event to third parties in any medium.

Where all or part of the House is closed for maintenance, repair or redecoration work, or where we need to withdraw facilities or services because we consider that they may pose a risk to the health or safety of our members, guests or staff, or that they are detrimental to the business, we will seek to ensure that any such area, facility or service is reinstated as soon as practicable.

 

24. Events

We love to hear what our members and guest(s) get up to at Maison MURA. Whilst you are a member or a guest, we may ask you to give your views of, and experiences, at Maison MURA. We may also film, video or photograph our member events and activities at our Houses for use in our membership program as well as advertising, promotions, public relations, and other commercial/business purposes. If you take part in these interviews or events, you agree to us using your name, image and limited other information. You also consent to us publishing any materials produced by, or for, us for any purpose without your further consent, and you waive your right to receive any payment from us in connection with such publication.

 

25.  Accidents and injuries

We want all our members and guests to enjoy Maison MURA  in safety. If a member or guest has an accident or suffers any injury at, or in the vicinity of, the House, please report this immediately to a member of staff.

 

26. CCTV

Members and their guests should be aware that for safety reasons, we use CCTV across all of Maison MURA.

 

27. Smoking policy

All members and their guests are obligated to abide by the House’s smoking policy, and to all applicable no-smoking governmental laws, rules and regulations. No smoking (including e-cigarettes and vapes) is allowed inside Maison MURA at any time. 

 

28. House Accounts 

All Members shall provide MAISON MURA with one credit or debit card to which the Member authorizes MAISON MURA to charge membership’s renewal dues, food, beverages and all services to your Member account. Members are responsible for replacing or updating said credit/debit card when the original card has expired or is no longer valid. Any unpaid balances are subject to a late rate. MAISON MURA reserves the right to suspend the Membership and all Membership privileges for any pending balances that are 15 days past due. The suspension of Membership will be enforced until the balance is paid in full

 

29. Rights and privileges of membership

A member shall be entitled to all the rights and privileges of the House granted to a person in his or her capacity as a member and shall be bound by these rules but shall have no proprietary rights in any of the premises or in respect of property of Maison MURA.

 

30. Maison MURA trademark rights

Members and their guests shall not use the names, logos, colors, trademarks, service marks, photographs, trade dress, or other identifying features of Maison MURA and its affiliates (the 'Maison MURA Marks') without obtaining the specific prior written approval of Maison MURA as to the specific use.

You hereby expressly recognize that the Maison MURA Marks are the valid, unique and exclusive property of Maison MURA, its parent, affiliates and/or subsidiaries. Members and their guests may not produce, use or create, or authorize others to produce, use or create, the Maison MURA Marks for any purpose whatsoever, including, but not limited to, in any communications, marketing, advertising or other promotional materials (including, but not limited to, brochures, flyers, invitations and e-mail messages) that utilize the Maison MURA Marks without Maison MURA's prior written consent.

 

31. Waiver of Liability

Members assume full responsibility for Member’s use of the facility and hereby releases MAISON MURA and its affiliates, managers, agents, employees, insurers, representatives, officers, directors, parents, subsidiaries, affiliates, successors, assigns, and sureties from any and all claims damages, demands, causes of action, or liability of any kind or nature, including those caused in whole or in part, by the negligence or willful misconduct of MAISON MURA and shall indemnify MAISON MURA, and its affiliates, managers, agents, employees, insurers, representatives, officers, directors, parents, subsidiaries, affiliates, successors, assigns, and sureties against any and all liability arising out of Member or Member’s guest or family member’s use of the facilities or any other act or omission of Member or Member’s guest or family member. All use of the facilities shall be undertaken by the Member at Member’s sole risk.

 

32. Damage caused by Member

Every Member of MAISON MURA will be liable for any property damage caused by the Member, any guest or any family member and the removal of any items from MAISON MURA properties by the Member or his or her family member or guest. The cost of such damage or removed item will be charged to the responsible Member’s house account.

 

33. Hours of Operation

Membership allows for access to facilities only during our hours of operation.

 

34. Rules, Regulations and Schedules

Member agrees to abide by all of the rules, regulations and schedules, which may be posted at the facility, and which may be amended from time to time, at MAISON MURA’S sole discretion. All prices and services are subject to change without notice.

 

35. Additional Expectations

Members are expected to abide by all MAISON MURA policies while on property in addition to the terms set forth in this Agreement.

 

36. Non-Transferable

Memberships are non-transferable

 

37. Revocation of Membership

MAISON MURA reserves the right to revoke and cancel this Membership at any time for any reason without explicit explanation for cancellation/ revocation. By way of example and without limiting the generality of the foregoing, MAISON MURA may revoke the membership of any Member if the Member violates any rules, regulations or policies of MAISON MURA or engages in any conduct (whether or not at the facilities or directly related to MAISON MURA) deemed by MAISON MURA to be likely to endanger the welfare, safety, harmony or good reputation of MAISON MURA or its MAISON MURA Members or is otherwise improper as determined by MAISON MURA in its sole discretion.

 

38. Interpretation of the rules

In the event of any dispute arising as to the meaning or interpretation of these rules, the matter shall be referred to Maison MURA ownership, whose decision with respect to your membership shall be final and without appeal. These rules shall be governed and construed in accordance with the laws of the State of Florida and each member agrees to submit to the exclusive jurisdiction of the courts of the State of Florida.

 

39. Amendments to the Maison MURA rules

Maison MURA may change the House rules from time to time, by displaying notification of the change on www.maisonmura.wine.
